WFOE Business Scope in China: How to Draft It Correctly

· China WFOE Editorial · Updated

How China WFOE business scope works: drafting tips, fapiao alignment, amendments, trading vs consulting language, and common rejection causes.

The business scope (经营范围) on a China WFOE’s business licence is the formal list of activities the company is authorised to conduct. Tax invoicing (fapiao), contracts, customs registrations, and many licences are checked against that scope.

Direct answer: why does business scope matter?

If an activity is outside the registered scope, the WFOE may be unable to issue matching VAT invoices, win certain tenders, or complete customs and industry filings. Amendments are possible but add time and cost — draft for the next 24–36 months, not only day one.

Scope is not marketing copy

AMR systems use standardised industry wording. Overly vague phrases (“all lawful business”) are usually rejected or ignored. Overly narrow phrases block growth. Good drafting balances:

  • Core revenue activities you will invoice for soon
  • Closely related ancillary activities
  • Licence-triggering language only when you truly need those licences

Trading vs consulting vs manufacturing wording

ModelScope emphasisCommon traps
Consulting / servicesAdvisory, technical services, market researchAccidentally omitting the exact service you will invoice
TradingWholesale/retail of named goods; import/export where neededProduct categories too narrow or too broad for customs
ManufacturingProduction of specified products; related salesMissing environmental or production permits linked to wording
Technology / softwareDevelopment, technical services, licensingConfusing ICP/internet licences with ordinary software services

These are commercial categories, not separate company laws. One WFOE licence can combine activities if the wording and any licences allow it.

Negative List first

Before drafting, screen the foreign-investment Negative List. Prohibited activities cannot be rescued by clever wording. Restricted activities may need joint ventures or shareholding caps instead of a WFOE.

Fapiao alignment

Shanghai and other major tax bureaus commonly scrutinise mismatches between invoice items and scope. If you plan to sell goods, ensure goods trading language is present — a pure “consulting” scope will not support merchandise fapiao.

Changing scope later

Amendments require AMR filing (and sometimes licence updates for regulated items). Plan known near-term pivots into the original draft when legally available, rather than relying on a quick fix after sales start.

Practical drafting process

  1. List products/services and customer types for 24–36 months
  2. Flag any item that needs a sector licence
  3. Map items to standard AMR catalogue language
  4. Cross-check Negative List and FTZ rules if using an FTZ address
  5. Align lease use and customs plans with the same wording
