Terms of Service

Please read these terms carefully before engaging our services. By instructing China WFOE Consulting to act on your behalf, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the website at chinawfoe.com (the "Site") and any professional services provided by China WFOE Consulting and its affiliated entities ("we", "us", or "our"). By accessing the Site or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Site or engage our services.

2. Services Description

China WFOE Consulting provides corporate advisory, company formation, accounting, payroll, visa support, and related professional services to foreign enterprises operating in or entering the Chinese market. Our services include, but are not limited to:

  • WFOE and Representative Office registration
  • Accounting, bookkeeping, and tax filing
  • Payroll processing and social insurance administration
  • Work permit and visa application support
  • Company de-registration and dissolution
  • Legal Representative and nominee services
  • General China market entry advisory

The specific scope of services in any engagement is defined in a written service agreement or proposal issued to the client. Information published on the Site is for general guidance only and does not constitute legal or tax advice.

3. Client Obligations

You agree to:

  • Provide accurate, complete, and up-to-date information required for the performance of services
  • Respond to requests for information, approvals, and documentation in a timely manner
  • Notify us promptly of any material changes to your business structure, ownership, or regulatory status
  • Use our services only for lawful purposes and in compliance with applicable Chinese and international law
  • Not misrepresent your identity, company structure, or the nature of your intended activities in China

We reserve the right to suspend or terminate services if client-provided information is found to be materially false, misleading, or in violation of applicable law.

4. Fees and Payment

Our fees are set out in the service agreement or proposal provided to you. Unless otherwise stated:

  • Fees are quoted exclusive of applicable taxes, government fees, notarisation costs, and third-party disbursements, which are billed at cost
  • A deposit or advance payment may be required before work commences
  • Invoices are payable within 14 days of issue unless otherwise agreed in writing
  • Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower
  • We reserve the right to suspend services pending resolution of overdue balances

5. Confidentiality

We treat all client information as strictly confidential. We will not disclose your business or personal information to third parties except: (a) where required by Chinese or applicable foreign law or by a competent authority; (b) to our professional advisers or sub-contractors bound by equivalent confidentiality obligations; or (c) with your prior written consent. Confidentiality is at the heart of our practice and survives termination of the engagement.

6. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Our total aggregate liability to you arising out of or in connection with any engagement shall not exceed the total fees paid by you to us in respect of that engagement in the preceding 12 months
  • We shall not be liable for any indirect, consequential, special, or punitive loss, loss of profits, loss of business opportunity, or loss of data
  • We are not liable for delays or failures caused by government authorities, changes in Chinese regulations, force majeure events, or your failure to provide required information in a timely manner
  • General information on the Site is provided without warranty of accuracy, completeness, or fitness for any particular purpose

7. Intellectual Property

All content on the Site — including text, guides, graphics, logos, and design — is owned by or licensed to China WFOE Consulting and is protected by applicable intellectual property law. You may not reproduce, distribute, or commercially exploit any content from the Site without our prior written permission. Work product prepared for your specific engagement belongs to you upon receipt of full payment for that engagement.

8. Governing Law and Dispute Resolution

These Terms and any engagement with us are governed by and construed in accordance with the laws of Hong Kong SAR. Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with its rules. The language of arbitration shall be English.

9. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. The updated Terms will be posted on this page with a revised "Last updated" date. Continued use of the Site or our services following any change constitutes acceptance of the updated Terms. For ongoing engagements, material changes will be communicated directly to affected clients.
